1. Acceptance of Terms

Welcome to AdWarrior. By accessing or using our AI-powered video generation platform at adwarrior.app (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you and Gleasonites LLC ("AdWarrior," "we," "us," or "our"). We may update these Terms from time to time, and your continued use of the Service after such changes constitutes acceptance of the updated Terms.

2. Description of Service

AdWarrior is an AI-powered platform that enables users to create user-generated content (UGC) style video advertisements using AI avatars. Our Service includes:

  • AI avatar selection and customization
  • Script writing and AI-assisted script generation
  • Video generation using AI technology
  • Voice synthesis and audio processing
  • Video editing and export capabilities
  • Template libraries and asset management

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. User Accounts

To access certain features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Promptly update your information if it changes
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

You must be at least 18 years old to create an account and use our Service. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use Policy

You agree not to use the Service to:

  • Create content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Generate deepfakes or content intended to deceive viewers about the identity of real individuals without their consent
  • Impersonate any person or entity, or falsely represent your affiliation with any person or entity
  • Create content that infringes on intellectual property rights of others
  • Generate content promoting violence, discrimination, or illegal activities
  • Attempt to reverse engineer, decompile, or extract our AI models or algorithms
  • Use automated systems to access the Service in a manner that exceeds reasonable use
  • Resell or redistribute the Service without our express written permission

We reserve the right to review content created using our Service and take action, including content removal and account termination, for violations of this policy.

5. Intellectual Property

Your Content: You retain ownership of any scripts, images, product photos, or other materials you upload to the Service ("Your Content"). By uploading Your Content, you grant AdWarrior a non-exclusive, worldwide, royalty-free license to use, process, and display Your Content solely for the purpose of providing the Service.

Generated Content: Subject to these Terms and your subscription plan, you own the videos and content generated using our Service ("Generated Content"). You may use Generated Content for commercial purposes, including advertising and marketing campaigns.

Our Platform: The Service, including all AI models, avatars, templates, software, and technology, is owned by AdWarrior and protected by intellectual property laws. You may not copy, modify, or create derivative works of our platform.

AI Avatars: Our AI avatars are created from licensed or proprietary sources. You may use avatars as part of the Service but do not acquire any ownership rights to the underlying avatar assets.

6. AI-Generated Content Disclaimers

You acknowledge and agree that:

  • AI-generated content may not always be perfect and may require review and editing
  • You are responsible for reviewing all Generated Content before use and ensuring it meets your requirements
  • AdWarrior does not guarantee that Generated Content will achieve any particular business results
  • AI technology is evolving, and output quality may vary
  • You are responsible for ensuring Generated Content complies with applicable advertising laws and platform policies where you distribute it

We recommend clearly disclosing that content is AI-generated where required by law or platform policies.

7. Payment and Subscriptions

Subscription Plans: Access to certain features requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan.

Payment: You agree to provide accurate payment information and authorize us to charge your payment method for all fees incurred. All fees are non-refundable except as expressly stated in these Terms or required by law.

Credits and Usage: Some plans include credits for video generation. Unused credits may expire according to your plan terms. Additional credits may be purchased separately.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period, and you will retain access until then.

Price Changes: We may change subscription prices with 30 days' notice. Price changes take effect at the start of your next billing period.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADWARRIOR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNTS PAID BY YOU TO ADWARRIOR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. You may download your Generated Content within 30 days of termination, after which it may be deleted.

Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Indemnification

You agree to defend, indemnify, and hold harmless AdWarrior and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • Your use of the Service
  • Your Content or Generated Content
  • Your violation of these Terms
  • Your violation of any rights of another party

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date.

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, please stop using the Service.
